1. Agreement to Terms

3.1 Service Modifications

We reserve the right to modify or discontinue any service with reasonable notice. We will work with you to ensure minimal disruption to your campaigns.

4. Payment Terms

Payment terms will be specified in your service agreement. Generally:

• Invoices are due within 15 days of receipt unless otherwise specified
• Late payments may incur additional charges
• Services may be suspended for non-payment
• All fees are non-refundable unless otherwise stated in your agreement

5. Intellectual Property

All content, materials, and deliverables created by Patel Digital Media remain our intellectual property until full payment is received. Upon payment, you receive a license to use the materials for your business purposes.

5.1 Client Materials

You grant us permission to use your brand materials, logos, and content for the purpose of delivering our services and showcasing our work in our portfolio (unless otherwise agreed).

6. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of our business relationship.

7. Limitation of Liability

Patel Digital Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for services in the preceding 12 months.

8. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• You remain responsible for payment of services rendered
• We will provide you with all completed work and materials
• Access to our platforms and tools will be revoked

9. Warranties and Disclaimers

While we strive for excellence, we cannot guarantee specific results from digital marketing campaigns. Results depend on various factors including market conditions, competition, and your business offerings.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes via email. Continued use of our services after changes constitutes acceptance of the new terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
